Terms of Service

These terms are an agreement between you and FederalShield LLC (“FederalShield”, “we”, “us”), a Utah limited liability company, for the use of federalshield.tech, Scan&Act Level 1 and the FederalShield AI Security Academy (the “Services”). If you use the Services for a company, you agree to these terms on its behalf and confirm you are authorized to do so. If you do not agree, do not use the Services.
What Scan&Act does
Scan&Act Level 1 guides your company through a self-assessment against the 15 security requirements of FAR 52.204-21(b)(1), which make up CMMC Level 1, and produces documents based on your answers. The results and documents reflect only what you tell us. Scan&Act does not inspect your systems.
Your responsibilities
- Your company, through its affirming official, is solely responsible for the accuracy of its self-assessment, for what it enters in SPRS and for its affirmation of compliance.
- Answer truthfully and keep your answers up to date.
- Keep your sign-in details secure and tell us if you believe your account has been compromised.
- Do not enter or upload passwords, Controlled Unclassified Information (CUI), classified information, malware or content you have no right to store, and do not misuse the Services, attempt to break their security, or resell them without our written permission.
Not legal or compliance advice
FederalShield is an independent company, not affiliated with or endorsed by the Department of Defense. The Services provide general information and tools. They are not legal advice, do not create a consultant or attorney relationship, and do not guarantee that your company is compliant, will pass any assessment or will win any contract.
Subscription, renewal and cancellation
- The assessment is free. The document pack costs $299 per year, plus any applicable taxes.
- Your subscription renews automatically each year at the then-current price, charged to your payment method on file, until you cancel. We will tell you about any price change before it applies to your renewal.
- You can cancel at any time from your account. Cancelling stops the next renewal, and you keep access until the end of the year you have paid for.
- Payments are processed by Stripe and are also subject to Stripe’s terms.
30-day money-back guarantee
If you are not satisfied, ask for a refund within 30 days of your first payment or of a renewal and we will refund that payment in full. A refund ends the subscription and access to the document pack immediately. Outside those 30 days, payments are non-refundable except where the law requires otherwise.
Your content and evidence files
Your answers, company details and evidence files remain yours. You give us permission to store and process them only to provide the Services. The documents generated for you are yours to use for your company’s compliance. Our Privacy Policy explains how we handle your information.
You can upload evidence files, up to 10 MB each. Without a subscription, uploaded files are deleted 7 days after upload unless you subscribe. Subscribers can download their files while the subscription is active. Scan&Act is not a backup service, so keep your own copies. When a subscription ends, we keep your answers, company details and files for 30 days so you can renew without losing your work, and then delete them permanently.
Our property
The Services, including their software, questions, guidance, templates, design and the FederalShield name and logo, belong to FederalShield and are protected by law. These terms do not give you any rights to them except to use the Services as described here.
Availability and changes
We work to keep the Services available and accurate, but they are provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Requirements and government systems change; we may update the Services to reflect them.
Limitation of liability
To the fullest extent the law allows, FederalShield will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, contracts or data. Our total liability for any claim relating to the Services is limited to the amount you paid us in the 12 months before the claim.
Indemnity
You agree to defend and hold FederalShield harmless from claims arising from your answers, your affirmation of compliance, or your breach of these terms.
Ending these terms
You may stop using the Services at any time. We may suspend or close an account that breaks these terms, and we will refund any unused prepaid period if we close an account without cause.
Governing law
These terms are governed by the laws of the State of Utah, without regard to its conflict of law rules. Any dispute will be resolved in the state or federal courts located in Salt Lake County, Utah.
Changes to these terms
We may update these terms. We will post the new version here with a new date and, for significant changes, notify account holders by email before they take effect. Continuing to use the Services after that means you accept the updated terms.
